1. Services Offered

SAPLOK is a premier engineering studio offering custom software and hardware solutions, including:

• Web and SaaS application development.
• Custom IoT hardware prototyping, ESP32-S3 firmware, and PCB design layouts.
• Advanced search engine optimization (SEO) implementation and digital marketing campaigns.

Each project engagement is governed by these Terms alongside a separate, detailed project contract or statement of work (SOW) defining milestones, timelines, and deliverables.

2. Intellectual Property Rights

Unless otherwise agreed upon in a custom SOW, the distribution of intellectual property rights is defined as follows:

• Agency IP: SAPLOK retains all ownership and rights in pre-existing code, modules, libraries, design methodologies, hardware blueprints, and developer tools used to build client deliverables.
• Deliverables IP: Upon full and final payment of all agreed-upon project fees, the custom code, designs, assets, and PCB files specifically created for the client are transferred to the client.
• Trademarks: The name "SAPLOK," the brand-mark (circular arrow logo), and all related designs, fonts, and assets are the sole property of SAPLOK. You may not use them without prior written consent.

3. User Responsibilities

As a user of our website and services, you agree to:

• Provide accurate, current, and complete information when booking consults or filling forms.
• Use our services only for lawful purposes in accordance with local and international regulations.
• Refrain from attempting to bypass any security systems, inject malicious scripts, or perform denial-of-service attacks on our web platforms.

4. Warranties and Limitation of Liability

Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, SAPLOK, its founders, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill arising out of or related to your use of our services or website.

5. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of India, specifically the jurisdiction of Coimbatore, Tamil Nadu, without regard to conflicts of law principles.

Any legal actions, suits, or proceedings arising out of these Terms shall be instituted exclusively in the competent courts located in Coimbatore, Tamil Nadu, India.
